1. Acceptance of Terms

Welcome to the Headstate Radio online service ("Service"), provided and operated by Headstate Productions, LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Service. By accessing or using the Service, you signify your unreserved acceptance of and agreement to be bound by these Terms. The Service and its entire original Content (excluding User Submissions), features, and functionality, including but not limited to all software, visual elements, audio programs, text, graphics, logos, and trademarks, are and will remain the exclusive property of Headstate Productions, LLC and its licensors. The Service is protected by copyright, trademark, patent, and other intellectual property laws of both the United States and international jurisdictions. Our trademarks and trade dress may not be used in connection with any product or service without our express prior written consent.

4. License to Use Service

Subject to your compliance with these Terms, Headstate Productions, LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial entertainment purposes. No rights or licenses are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Headstate Productions, LLC, except for the licenses and rights expressly granted in these Terms.

You agree to use the Service only for lawful purposes and in a manner that does not infringe upon or restrict the rights of, or inhibit the use and enjoyment of the Service by, any other User. Prohibited activities include, but are not limited to:

6. User Submissions

By submitting any User Submissions to Headstate Radio (e.g., music, mixes, audio content), you grant Headstate Productions, LLC a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit your User Submissions in connection with the Service and Headstate Productions, LLC's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels now known or hereafter developed. You also grant each User of the Service a non-exclusive license to access your User Submissions through the Service, and to use, reproduce, distribute, display, and perform such User Submissions as permitted through the functionality of the Service and under these Terms.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish User Submissions you submit; and you grant to Headstate Productions, LLC the license set forth above, and that the User Submissions, or our use thereof, will not infringe, misappropriate, or violate a third party's intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

Our Service may contain links to websites or services that are not owned or controlled by Headstate Productions, LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Headstate Productions, LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services. HEADSTATE PRODUCTIONS, LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

9. Limitation of Liability

10. Indemnification

You agree to defend, indemnify, and hold harmless Headstate Productions, LLC and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) your breach of these Terms; or c) your violation of any rights of a third party, including intellectual property rights.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, USA, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Oregon, USA, and you hereby consent to the personal jurisdiction and venue of such courts.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
